1. Purpose of This Agreement

This Non-Disclosure Agreement (“Agreement”) governs your access to confidential information provided through IntelComp.co. By accessing this website, participating in any demo, onboarding, affiliate program, partnership, or service engagement, you ("Recipient") agree to the terms set forth below to protect the confidential and proprietary information of IntelComp.co and Consultare Inc. Group.
2. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" includes, but is not limited to:

• Compliance management software, systems, code, designs, features, integrations, and technical data related to IntelComp and InterlinkIQ.
• Subscription models, pricing structures, revenue models, and financial information.
• Client lists, supplier data, vendor networks, and partnership structures.
• Compliance tools, gap assessments, audit templates, and service documentation.
• Marketing plans, product roadmaps, training materials, proprietary methodologies, and business strategies.
• Any information marked "Confidential" or which, by its nature, would reasonably be considered confidential.
Confidential Information may be disclosed orally, visually, electronically, or in writing.

3. Obligations of the Recipient

By accessing IntelComp.co and receiving Confidential Information, you agree to:

• Use the Confidential Information solely for the purpose of evaluating or conducting business with IntelComp.co.
• Not disclose, reproduce, distribute, or otherwise share Confidential Information with any third party without prior written consent from the Company.
• Limit internal access to only those employees, agents, or advisors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than this Agreement.
• Exercise reasonable care (no less than the care you use to protect your own confidential information) to safeguard all Confidential Information.

4. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no wrongful act of the Recipient.
• Was lawfully obtained by the Recipient from a third party not under confidentiality obligations.
• Was independently developed by the Recipient without use of Confidential Information.
• Is required to be disclosed by law, regulation, or valid legal process, provided that the Recipient gives prompt notice to the Company.
