Affiliate Program Agreement

  • Welcome to the IntelComp Affiliate Program. Please read the following agreement carefully before participating. By enrolling, you agree to be bound by the terms and conditions outlined below.

Parties

  • This Affiliate Program Agreement ("Agreement") is entered into by and between:

    IntelComp.co (a division of Consultare Inc. Group, hereinafter "Company") and You ("Affiliate").

1. Program Enrollment & Approval

  • To join the program, Affiliate must submit a complete application for review.

    Approval is at the sole discretion of IntelComp.

    Company may request additional information to verify eligibility prior to enrollment.

2. Commission Structure

  • A. Software Subscription Revenue (Lifetime Recurring)

    • Affiliate earns a 10% recurring commission for the life of the subscription for each new customer referred to IntelComp Compliance Management Software.

      Commissions are earned and paid for each billing cycle while the referred customer remains active and payments are collected.

    B. Direct Compliance Services Revenue

    • Affiliate earns 10% commission on net revenue collected for any compliance services purchased by the referred customer.

      Covered services include:

      • Gap Assessments

        Audit Readiness

        Policy & Documentation Development

        SOPs & Work Instructions

        Training Services

        Professional Advisory Support

    C. Indirect Referral Revenue (Third-Party Referral Fees)

    • When IntelComp refers a client to a third-party and receives a referral fee or revenue share, Affiliate earns 10% of net referral revenue received.

      These commissions are paid within 30 days of Company receiving the revenue.

3. Qualified Sales

  • For commissions to apply:

    • The referred customer must not be an existing or former customer of IntelComp.

      The sale must originate from Affiliate’s assigned tracking link, registered lead, or accepted direct introduction.

      Full payment must be submitted by the referred customer and collected by IntelComp.

4. Payment Terms

  • Commissions are calculated monthly based on collected and cleared payments.

    Payments are made within 30 days following the close of each calendar month.

    Payment methods include PayPal, ACH, or wire transfer.

    Monthly reports will be provided to Affiliates summarizing sales, commissions, and payouts.

5. Marketing Guidelines

  • Affiliate agrees to:

    • Use only IntelComp-approved marketing materials.

      Avoid misleading claims or unapproved representations.

      Not bid on or use IntelComp trademarks, brand names, or domains for paid advertising (Google Ads, Facebook Ads, LinkedIn Ads, etc.).

6. Confidentiality

  • Affiliates shall not disclose or use any non-public, proprietary, or confidential information related to IntelComp’s business, clients, pricing, or intellectual property.

7. Non-Competition & Non-Circumvention

  • Affiliate shall not:

    • Use IntelComp proprietary information to build or promote competing services.

      Solicit or contract directly with IntelComp clients, vendors, or partners outside of the Affiliate Program.

8. Intellectual Property

  • All intellectual property, content, technology, software, and marketing materials remain the sole property of IntelComp. No license or transfer of ownership is granted.

9. Term & Termination

  • This Agreement remains in effect until terminated by either party.

    Either party may terminate this Agreement at any time with 30 days written notice.

    Immediate termination may occur for material breach, including fraud, misrepresentation, or violation of program rules.

10. Injunctive Relief

  • Both parties agree that breaches involving confidentiality, intellectual property, or circumvention may cause irreparable harm, entitling IntelComp to seek injunctive relief without posting bond.

11. Indemnification

  • Affiliate shall indemnify and hold IntelComp harmless from any claims, damages, or losses arising from Affiliate’s actions or breaches of this Agreement.

12. Governing Law & Dispute Resolution

  • This Agreement is governed by the laws of the State of Texas, USA.

    All disputes will be resolved exclusively through binding arbitration under the American Arbitration Association (AAA), held in Houston, Texas.

13. Independent Contractor Status

  • Affiliate is an independent contractor and not an employee, agent, or joint venture partner of IntelComp.
